Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of AethERP's ERP consulting services, website, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you and AethERP.

Description of Services

AethERP provides enterprise resource planning (ERP) consulting services, including but not limited to:

  • ERP system implementation and configuration
  • Business process analysis and optimization
  • System integration and custom development
  • Training and support services
  • Ongoing maintenance and consulting

Specific services, deliverables, timelines, and fees will be detailed in separate service agreements or statements of work executed between you and AethERP.

Client Responsibilities

As a client, you agree to:

  • Provide accurate, complete, and timely information necessary for service delivery
  • Designate authorized personnel to work with AethERP and ensure their availability
  • Review and approve deliverables in a timely manner
  • Comply with all applicable laws and regulations
  • Pay all fees and expenses as agreed upon in service agreements

Payment Terms

Payment terms, including fees, invoicing schedules, and payment methods, will be specified in your service agreement. Unless otherwise agreed:

  • Invoices are due within 30 days of the invoice date
  • Late payments may incur interest charges as permitted by law
  • We reserve the right to suspend services for non-payment
  • All fees are non-refundable unless otherwise specified in your agreement

Intellectual Property Rights

Client Materials: You retain ownership of your proprietary information, data, and materials provided to AethERP. You grant AethERP a license to use such materials solely for the purpose of providing Services.

AethERP Materials: AethERP retains ownership of all pre-existing intellectual property, methodologies, tools, and know-how. Custom deliverables created specifically for you will be addressed in your service agreement.

Third-Party Software: Use of third-party ERP software and tools is subject to the respective vendor's license agreements. You are responsible for obtaining and maintaining appropriate licenses.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary and confidential information disclosed during the course of providing Services. This obligation survives termination of these Terms and any service agreements.

Confidential information does not include information that: (a) is publicly available, (b) was independently developed, (c) was rightfully received from a third party, or (d) must be disclosed by law or court order.

Warranties and Disclaimers

Service Warranty: AethERP warrants that Services will be performed in a professional and workmanlike manner consistent with industry standards.

Disclaimer: EXCEPT AS EXPRESSLY PROVIDED HEREIN, AethERP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION OF ANY ERP SYSTEM OR SOFTWARE.

Results and outcomes depend on various factors including your business processes, data quality, user adoption, and third-party software performance, which are beyond AethERP's control.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AethERP'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO AethERP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

AethERP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.

Indemnification

You agree to indemnify, defend, and hold harmless AethERP and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Services or any deliverables
  • Your violation of these Terms or any applicable law
  • Your infringement of any third-party rights
  • Any content, data, or materials you provide to AethERP

Termination

Either party may terminate a service agreement in accordance with its terms. AethERP may suspend or terminate Services immediately upon breach of these Terms or non-payment.

Upon termination, you remain responsible for all fees and expenses incurred prior to termination. Provisions that by their nature should survive termination will remain in effect.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration or in the courts of [Your Jurisdiction], as specified in your service agreement.
